Tenet board rejects

Directors Dallas Tenet Healthcare Corp. said Friday they had rejected an all-cash offer of $ 3.3 billion for Community Health Systems, Inc to buy the company.

Community Health, based in Franklin, Tenn., Is offering $ 6 per share, for the same price, which was first proposed on November 12. Previously, he was offered $ 5 per share and $ 1 per share in the Community Health common shares.

"Proposal of Community Health continues to underestimate Tenet," said Trevor Fetter, president and chief executive of Tenet. "Tenet has demonstrated improvement in business areas, including the best in the fourth quarter results for seven years."

In a statement, Community Health said that "disappointed" that Tenet rejected his proposal.

"Despite the Council's strategy trench, we remain ready to engage in constructive discussions to move forward this transaction," the statement said.

Declined the offer is the latest episode in the ongoing struggle between the two companies hospital. For five months, Tenet's board supports persistent against the acquisition offer health community.

January 7, Tenet received shareholder rights plan, also known as a poison pill to dilute the shares of Community Health, if she tried to buy 4.9 per cent or more of the company.

A few days before a lawsuit Tenet, Community Health has received a subpoena from the office of the Inspector General of the Ministry of Health and Human Services in connection with the investigation of Medicaid and Medicare claims.

Subpoena requests documents related to emergency department processes and procedures, community health clinics. Subpoena requests and other information about the relationship with Community Health doctors emergency departments, including financial arrangements.
